Seller (or producer) will be understood as the natural or legal person registered in the Platform, who in the development of a commercial activity, publishes, promotes and sells their products through the Sanus Market Platform, once the contract for the provision of services with Sanus.

Customer (or consumer) shall be understood as the person who accesses the Platform and proceeds to purchase the Sellers' product / s through it. The Client, if he is a natural person, must be eighteen (18) years or older, and have full capacity to act to enter into binding contracts.

1.- OBJECT AND GENERALITIES

Sanus launches a virtual market (MarketPlace) on the Sanus Market Platform that will allow Clients to contact professional Sellers, also registered in the Platform, through their intermediation, in order to buy the Products they propose, with a closed price.

The use of this Platform implies full acceptance by the Seller and the Client, before making the payment for the purchase of any product, of all the General Conditions of the Platform each time it is accessed, so if do not agree with any of the conditions established here, this Platform should not be used.

Sanus reserves the right to modify these General Conditions and any other general or particular conditions, regulations, instructions or notices that may apply at any time. In addition, Sanus reserves the right to suspend, interrupt or stop operating on the Platform at any time.

Any modification will be carried out with a prior notice of at least 15 days (which may be longer if the new conditions require the seller to make technical or commercial adaptations).

The wording changes should not be understood as a modification to the extent that they do not alter the content and meaning of the conditions.

1.1. Service description

The service is made up of a set of tools that allow Clients to buy on the Platform and acquire products from different Sellers.

The Client may buy any product that is offered for sale on this Platform as long as it is available and in stock.

In order to make a purchase of Products on the Platform, the Client has several options:

Unregistered customer: The customer may purchase products without having to register on the Platform through the form and acting as "Unregistered Customer".

Registered customer: The customer may purchase products by registering on the Platform through the registration form provided.

The customer will have the option of registering both at the end of the purchase tunnel and at any time, without having to make a purchase.

The access key / s to the Platform is strictly confidential. The Client will be responsible for the custody of the access key (s) and undertakes to adopt the necessary measures to prevent unauthorized knowledge or use of them. Similarly, Sanus will provide the Seller with access to a private management area or back office from which they can manage the orders associated with the sales of their products made on the Platform.

1.2. Processing of Orders

The Products will be presented and made available to the Client on the Platform with a description that informs the Client of the essential characteristics of the product and its price. Both the description and the price indicated will be established by the Sellers under their sole responsibility.

The products that Clients wish to purchase must be selected and added to the shopping cart by clicking on the corresponding icon.

Units of the item or selected items can be added to the shopping cart.

Once the products to buy have been decided, the customer will go to the next step to purchase them, either as an unregistered Customer or as a registered Customer (see point 1.1).

1.3. Sellers Evaluation

Sanus makes available to Clients, means that allow them to evaluate the Sellers and the Products published by them after confirming the receipt of the Products ordered.

By default, the Sanus Market Products (by Product category: food, supplements, cosmetics and hygiene, home and well-being ...) as well as the Sellers themselves will be classified, taking into account the buyers' evaluations, with the Products / Top rated sellers. 1.4. Prices and means of payment

1.4.1. The prices of the products will be shown with IGIC included. Prior to the start of the order purchase procedure, the final price of the complete order will be indicated, including taxes, increases or discounts that apply to your offer and additional expenses that may be passed on to you.

1.4.6. In particular, it will not incorporate content that refers to the personal data of other Clients of the Platform or third parties without the consent of those affected.

2.1.2 You will refrain from incorporating content or directing messages to Sellers or to mention other Clients of the Platform:

(i) That they are contrary to the law, morality, good customs, established public order or for illicit, prohibited purposes or that may be harmful to the rights and interests of other Clients of the Platform or third parties.

(ii) That, without being included in the previous section, may be considered as defamatory, humiliating, or simply inconsiderate treatment for individuals or institutions; or in any way they can be identified with cases of discrimination against people based on their birth, race, ethnic origin, sex, religion, opinion or any other personal or social circumstance.

(iii) That question or cast doubt on the good name, professionalism and / or social projection of the activities carried out by Sanus. In particular, the Platform may not be used to channel complaints or claims related to the products and services sold by Sanus.

The Seller and the Customer acknowledge the ownership and copyright of Sanus with respect to the Platform and related programs.

The Seller authorizes and grants Sanus free of charge, and for the duration of the Agreement, a non-exclusive and non-transferable license to use the brands, logos, trade names, domain names and distinctive signs solely and exclusively for use by Sanus for the promotion of products on the Platform.

The Seller guarantees that he has the rights, licenses, permits and authorizations of the holders of intellectual and industrial property rights that affect the products offered by him, and assumes that the payment of any other intellectual property rights will be his exclusive account. and industrial and the payment of rights and compensation for such concepts.

The Seller will exonerate Sanus from liability to third parties for actions or claims that come from holders of intellectual and industrial property rights over the products it offers on the Platform.

4.- DATA PROTECTION

6.- BREACH OF THE GENERAL CONDITIONS

6.1 Sanus may adopt the rules and security measures that it deems appropriate at any time to guarantee that the access and participation by the Clients of the Platform are carried out in accordance with these General Conditions and subject to the provisions of the regulations. current applicable.

At any time, Sanus may require the Customer to provide the information it deems necessary to verify compliance with any of these conditions. Without the need to comply or carry out any procedure or prior communication, the Platform Administrator may, at any time:

(i) Temporarily block or permanently withdraw the information and content that you have incorporated into the Platform when you suspect or are certain that they may violate the provisions of the general conditions and / or the applicable legal regulations.

(ii) Restrict or suspend the participation in the Platform of any Client, even expel him definitively in case of breach of any of the general conditions and / or the applicable legal regulations.

In the case of Sellers, Sanus will communicate a reasoned decision to restrict or suspend the provision of its services related to the specific goods or services offered by said Seller. Sanus, in the event that it terminates the provision of all its services for a Vendor, will notify you with reason at least thirty days in advance of the decision, unless the affected party has repeatedly violated the general conditions, which in such case, will not be of application the indicated term. When the motivation for the restriction, suspension or termination is based on a legal or regulatory obligation, the indicated period will not apply. 7.- CONDITIONS FOR THE SALE OF PRODUCTS

7.1.- Product delivery

The person responsible for the sale of the product is at all times the offering Seller.

The legal relationship corresponding to the sale of the Products is between the Client and the Seller to whom the Order is placed. Sanus has no control over the Sellers or the Products they offer, and consequently Sanus does not assume any liability that may correspond to the Sellers.

(i) Sanus is not responsible or offers any guarantee that the Products or services requested from Sellers through the Platform are of the characteristics or quality expected by the Client.

It is the Customer's responsibility to check that the Product received is the one purchased as well as the good condition of the merchandise (quality and quantity) at the time of its effective delivery. If the Customer detects any incident, he must notify the reason for the same to the Product Seller.

Sanus will send the Seller in question those notifications of incidents that it receives through the Platform Site within a maximum period of seven calendar days from the effective delivery of the Product.

(ii) Sanus does not guarantee that Sellers will accept all orders from Customers, which they may reject for any reason. 7.2.- Claims for defective Products

Any claim must be processed by the Client before the Seller responsible for the sale. The Seller is responsible for the repair or replacement of defective products. 7.4.- Claims

Disputes are resolved directly between the Customer and the Seller.

8.- RESPONSIBILITIES

Service interruptions due to errors produced by access providers or transitory Internet conditions, or due to problems derived from the computer system, connection or navigation software, telephone network, ADSL, cable, satellite and any other transport or communications infrastructure.

The alterations that are produced by voluntary and / or involuntary interference and / or by the misuse of the same and / or programs, for example, viruses, server crashes, deletion of files, database damage, fires, explosions, floods, violent actions by third parties, electrical problems (excess or lack of current), or any other that affect or may affect the operation of the server equipment and / or the information stored therein.

Crashes of the client's server derived from an excessive or erroneous use of its resources or the resources assigned to it, external attacks, hardware or software failures and the like.

Failures caused by the malfunction of the server, the Seller's email addresses, and the lack of communication to Sanus of changes in email addresses, disinformation due to the Seller's negligence.

Circumstances beyond the control of Sanus, including, without limitation, those motivated by force majeure such as accidental loss of information due to any cause beyond Sanus, deterioration of the Seller's terminal equipment due to misuse, responsibility of the Seller, as well as errors or defects in the configuration of the client or the like.

Damages of any kind that the Seller or third parties may suffer, which are caused by failures, or disconnections in the telecommunications networks, and / or due to causes attributable to third party service providers.

The products added on the platform or possible incidents, declining the responsibility of the Seller.

The delay or lack of compliance if it is attributable to circumstances beyond our reasonable control. In particular, it will be responsible for the information and content that, where appropriate, it incorporates to the Platform.

Clients and Sellers will hold Sanus, its directors, administrators, representatives and employees harmless for any claim or demand from third parties for the breach of the general conditions and other policies that are understood to be incorporated herein or for the violation of any laws or rights of third parties.

Clients and Sellers undertake not to reproduce, copy, distribute, carry out acts of public communication, transform or modify the contents of the Platform, including trademarks, trade names or distinctive signs, unless they have the authorization of the owner of the rights, nor to suppress, manipulate or in any way alter the "copyright" and other identifying data of the reservation of rights.

They must refrain from obtaining or attempting to obtain the content using mechanisms other than those that, where appropriate, have been made available to them or, in general, those that are commonly used on the Internet, provided that the latter do not involve a risk of damage or disablement of the platform and / or its contents.

The responsibility for determining the content and services accessed by minors corresponds to the people in whose charge they are. As through the Internet it is possible to access content that may be inappropriate for minors, Clients are informed of the existence of computer programs that allow limiting or controlling the content that minors can access.

8.4 Termination of the relationship.

The causes of termination of the relationship between Sanus and the Seller will be those regulated in the Contract for the provision of postal and telegraphic services signed between the parties.

Once the relationship is terminated, Sanus will not keep information provided or generated by the Seller, on the Platform.

9.- PARTIAL NULLITY. RESIGNATION

If any clause included in these General Conditions is declared, totally or partially, null or ineffective, such nullity or ineffectiveness will affect only said provision or the part of it that is null or ineffective, the general conditions subsisting in everything else, having such provision, or the part of it that is affected, by not being placed.

Sanus may not exercise any of the rights and powers conferred in this document, which does not imply in any case the waiver of them, unless expressly acknowledged in writing by Sanus. Failure by Sanus to demand strict compliance with any contractual term on one or more occasions will not deprive it of the right to demand strict compliance with the contractual obligation / s a posteriori.

10.- MEDIATION

In compliance with Regulation (EU) 2019/1150 and in order to resolve any disputes that may arise between Sanus and the Seller arising from the provision of the online hospitalization services described in these general conditions and, as well as those Claims that have not been resolved through the internal processing system, Sanus is in a position to cooperate with mediators to reach out-of-court dispute resolution agreements between the parties.

Mediation as a confidential and voluntary conflict resolution process will not imply an obligation, and the parties must act in any case, under the principle of good faith. The proposal of mediators by Sanus with whom you are willing to collaborate does not prevent the freedom to jointly designate a mediator of your choice.

Any attempt to reach an agreement through mediation shall be understood without prejudice to the right to initiate a judicial process at any time.

JURISDICTION

These general conditions are governed by Spanish law. For any litigation that may arise related to the Platform, the Courts of Santa Cruz de Tenerife will be competent, the user expressly renouncing any other jurisdiction that may correspond, except the competent jurisdiction in the case of consumers.
